1. Introduction
This Privacy Policy describes how FairShare LLC ("FairShare," "we," "us," or "our") collects, uses, shares, and protects information about users of the FairShare platform at fair-share.vip and any related services (collectively, the "Platform").
FairShare is a software platform that helps organizations — such as sports clubs, member-owned organizations, and similar groups — track ownership-related instruments (such as warrants), record member contributions, and manage equity-style programs internally.

2. Roles: Who Controls Your Data
FairShare operates as a multi-tenant platform. Different organizations ("Tenant Organizations") use FairShare to manage their own programs.
- For information you provide directly to FairShare (e.g., when creating a FairShare account, contacting support, or interacting with our marketing site), FairShare is the data controller.
- For information processed within a Tenant Organization's workspace (e.g., warrant grants, contribution records, ledger entries managed by your club), the Tenant Organization is the data controller and FairShare is the data processor acting on the Tenant Organization's instructions.
This distinction matters for your rights: requests to access, correct, or delete information held within a Tenant Organization's workspace should be directed to that organization. FairShare will assist Tenant Organizations in responding to such requests.
3. Information We Collect
3.1 Information You Provide
- Account information: name, email address, and any profile information you choose to provide. Passwords are not stored in FairShare's own database — authentication is handled by our authentication provider, which stores credentials securely on its own infrastructure.
- Optional contact information: phone number, where provided
- Accreditation status: for users participating in programs that require it, we may record whether you have indicated you are an accredited investor, along with the date of that indication. This is used by Tenant Organizations to determine eligibility for certain instruments under applicable securities exemptions.
- Authentication data: session tokens, sign-in events, and security-related metadata (managed by our authentication provider)
- User-submitted content: timesheet entries, activity descriptions, comments, and (where applicable) receipt images
- Communications: any messages you send to support@fair-share.vip or other contact channels
3.2 Information Collected Automatically
- Usage data: pages visited, features used, timestamps, and similar telemetry
- Device and connection data: IP address, browser type, operating system, and approximate location derived from IP
- Cookies and similar technologies: session cookies required for authentication; we do not use third-party advertising or cross-site tracking cookies
3.3 Information from Tenant Organizations
If you participate in a Tenant Organization's program, that organization may provide FairShare with:
- Your contact details (name, email)
- Your role within the organization (player, coach, staff, sponsor, fan, administrator, etc.)
- Records of warrant grants, vesting schedules, contributions, and ledger entries associated with your participation
3.4 What We Do Not Collect
FairShare does not collect:
- Government-issued identification numbers (SSN, ITIN, passport, driver's license) at the platform level
- Financial account numbers (bank accounts, credit cards) — payments, when they occur, are processed by third parties
- Biometric data
- Health, genetic, or precise geolocation data
4. How We Use Information
We use information to:
- Provide, operate, and maintain the Platform
- Authenticate users and protect against unauthorized access
- Communicate about your account, security alerts, and changes to the Platform
- Respond to support requests and inquiries
- Comply with legal obligations and enforce our Terms of Service
- Improve the Platform — diagnose technical issues, analyze aggregate usage patterns, and develop new features
- For Tenant Organizations: process warrant grants, vesting events, and ledger entries according to the Tenant Organization's instructions
We do not sell personal information. We do not use personal information for advertising or marketing on behalf of third parties.
5. How We Share Information
We share information only as follows:
- With your Tenant Organization: information you submit within a Tenant Organization's workspace is visible to authorized administrators of that organization
- With service providers acting on our behalf, under contractual obligations to protect your information:
- Supabase — database, authentication, and storage (US region)
- Vercel — application hosting (US region)
- Resend — transactional email delivery
- Cloudflare — DNS and email routing
- For legal reasons: if required by law, court order, or to protect rights, property, or safety
- In a business transfer: if FairShare is involved in a merger, acquisition, or sale of assets, your information may be transferred subject to this Privacy Policy
We do not share personal information with advertisers, data brokers, or third-party analytics platforms beyond what is strictly necessary to operate the Platform.
6. Data Security
FairShare takes commercially reasonable steps to protect information against unauthorized access, disclosure, alteration, or destruction. Our security practices include:
- Encryption in transit (TLS 1.2+) for all communications between your device and the Platform, with HTTP Strict Transport Security (HSTS) enforced
- AES-256 encryption at rest for data stored in our database and storage providers
- Role-based access controls — runtime services use a least-privilege role with restricted permissions on sensitive tables
- Immutable audit logging — ledger entries and audit logs cannot be modified or deleted by application services or by administrators through normal application use
- Periodic security review — we periodically review our infrastructure and code for security issues and address findings as they arise
No system is perfectly secure. If FairShare becomes aware of a security incident affecting your information, we will notify you and applicable authorities as required by law.
7. Data Retention
- Account data: retained while your account is active and for a reasonable period after closure to comply with legal obligations and resolve disputes
- Ledger entries and audit logs: retained indefinitely for the integrity of warrant and equity records, even after individual user accounts are closed. This is a deliberate design choice — warrant programs require permanent, tamper-resistant records.
- Backups: retained for a limited period in accordance with our backup rotation schedule
- Support communications: retained for a reasonable period to assist with future inquiries
8. Your Rights
Depending on where you reside, you may have the following rights:
- Access — request a copy of personal information we hold about you
- Correction — request correction of inaccurate information
- Deletion — request deletion of personal information (subject to legal and operational retention requirements, including the immutable nature of ledger entries)
- Portability — request a portable copy of certain information
- Objection / restriction — object to or restrict certain processing
- Withdrawal of consent — where processing is based on consent

For data held within a Tenant Organization's workspace, please direct requests to that organization. FairShare will assist the Tenant Organization in responding.
8.1 State-Specific Rights (United States)
The following sections describe rights granted by specific US state privacy laws. These rights apply to residents of the named states.
California (CCPA / CPRA): California residents have the right to know what personal information is collected, used, shared, or sold; the right to delete personal information; the right to correct inaccurate personal information; the right to opt out of the sale or sharing of personal information; the right to limit the use and disclosure of sensitive personal information; and the right to non-discrimination for exercising these rights. FairShare does not sell personal information.
Virginia (CDPA), Colorado (CPA), Connecticut (CTDPA), Utah (UCPA): Residents of these states have rights similar to those described above, including rights of access, correction, deletion, and portability, as well as rights to opt out of certain processing.
Other states: As additional state privacy laws come into effect, the rights granted by those laws will apply to residents of those states.
9. Children's Privacy
FairShare is not directed at children under 13. We do not knowingly collect personal information from children under 13. If you believe a child under 13 has provided information to FairShare, contact support@fair-share.vip and we will take appropriate steps to delete it.
10. International Users
The Platform is operated from the United States and information is processed in the United States. If you access the Platform from outside the United States, you consent to the transfer and processing of your information in the United States.
FairShare does not currently target users outside the United States.
11. Changes to This Policy
We may update this Privacy Policy from time to time. The "Effective Date" at the top will be updated to reflect the latest version. Material changes will be communicated through the Platform or by email to your registered address.
